AGREEMENT:
This USER Agreement and the policies referred to within contain
the complete terms and conditions that apply to your use as a “user” of the booking
services being offered at the URL:
http://www.dinerplace.com as used in this Agreement. "DinerPlace"
refers to Dinerplace Ltd. and "USER" or "you" refers to you a member of the public
and “Listed Business” refers to a information listing on the DinerPlace website.
THIS REFERS TO THE USE OF THE SERVICES AND THE DINERPLACE SITE WHICH CONSTITUTES
KNOWING ACCEPTANCE AND ACKNOWLEDGEMENT OF THIS USER AGREEMENT, DINERPLACE'S PRIVACY
POLICY AND DINERPLACE'S TERMS AND CONDITIONS.
DinerPlace may modify this Agreement's terms and conditions at any time without
notice. Continued use of the Services and the DinerPlace website after a change
in this Agreement, a change in the Privacy Policy, or after implementation of any
other new policy constitutes acceptance of such change or policy. IF YOU DO NOT
AGREE TO THE TERMS OF THIS AGREEMENT OR ANY REVISED VERSION OF THIS AGREEMENT, PLEASE
DO NOT USE THIS SITE.
1. DINERPLACE SERVICES
DinerPlace provides booking and marketing services to the food and hospitality sectors
through its website
www.dinerplace.com where “user” can view. The website can assist
the USER in securing bookings at participating third party business listings on
the website (EG. A "Restaurant, A “Tourist Attraction"). In response to a USER's
online request, the DinerPlace Site directly contacts the Business Listed by email
and SMS text message with the user booking details. The Business Listed has the
ability to automatically confirm the booking by using their on-line booking diary
or elect to use a delayed booking confirmation. DinerPlace
takes no responsibility for the confirmation of reservations or bookings. It is
the responsibility of the listed business been booked to confirm or reject the booking
request. DinerPlace takes no responsibility for the booking with the listed business
nor does it take responsibility for the user experience or consequences as a result
of contact with a DinerPlace listed business. Whilst we endeavour to ensure that
the information on this website is correct, we do not warrant its completeness or
accuracy, nor do we commit to ensuring that the website remains available or that
the material on the website is kept up-to-date. The information on the website is
provided by the businesses them selves and dinerplace.com is not liable for any
loss or damage of any nature related to the information provided on our website.
2. NO SHOW/CANCELATION POLICY
DinerPlace is committed to providing superior quality services to its USERS and
Business Listings. To assist us in maintaining a consistently high level of service
with the participating Business Listings and patrons, USERS are asked to cancel
any bookings that they will be unable to honor directly with the Business Listing.
You cannot cancel your booking online and it’s the “users” responsibility to contact
the “business listing” directly.
3. PRIVACY POLICY
DinerPlace is committed to safeguarding your privacy online. Please review our privacy
policy.
4. USAGE GUIDELINES
The Services are being offered to USER for USER's personal use. USER agrees to use
the Services only to book reservations at participating Business Listings and then
honor those bookings by arriving at the Business Listing on time.
Any and all other uses which are unlawful or in violation of this Agreement's terms
and conditions are prohibited. DinerPlace reserves the right, in its sole discretion,
to refuse service, terminate accounts, remove or edit content, or cancel bookings.
5. EMAIL POLICY
You the User may receive periodic emails from DinerPlace or the Business Listing
you booked if you opted to receive such email at the time of making your booking
request with the DinerPlace Site. If you would rather not receive email from DinerPlace,
please send an email titled “Unsubscribe” to info@dinerplace.com and you will be
unsubscribed from receiving further mailings. USER acknowledges and agrees, however,
that USER will still receive reservation confirmation emails, no-show confirmation
emails, reservation change confirmation emails, reservation cancelation confirmation
emails and other emails relating to reservations booked by USER through the DinerPlace
website, even if USER has opted not to receive periodic email from DinerPlace. While
you cannot unsubscribe from all service messages, you may select not to receive
future diner-feedback invitation emails by following the "unsubscribe" instructions
provided. In accordance with our Privacy Policy, we do not share any of your individual
information without your prior consent.
6. INTELLECTUAL PROPERTY AND GRANT OF RIGHTS TO USER
The materials and services provided for and depicted on the DinerPlace website are
protected by copyright, trademark and other intellectual property laws. All text,
graphics, video, data or other content on the DinerPlace website ("DinerPlace Content")
is provided to USER by DinerPlace for the sole purpose of using the Services. USER
shall not copy, display, modify, create derivative works of, publish, or sell the
DinerPlace Content or any information, software, or services provided by DinerPlace
. The DinerPlace Content may be modified from time to time by DinerPlace in its
sole discretion. The information related to the Business Listings is provided by
the Business Listing itself. Nothing in this Agreement shall affect any rights of
DinerPlace in the Services or DinerPlace Content, and any associated trademarks,
copyrights, or other intellectual property rights. No license, right or interest
in any trademarks of DinerPlace or any third party is granted under this Agreement.
7. ACCESS AND INTERFERENCE
Much of the information on the DinerPlace Site is updated on a real time basis and
is proprietary or licensed to DinerPlace by its Business Listings or third parties.
By using the DinerPlace website, you agree not to:
Use any robot,
spider, scraper or other automatic device, process or means to access the DinerPlace
website for any purpose without DinerPlace’s express written permission. Take any
action that imposes or may impose (in DinerPlace’s sole discretion) an unreasonable
or disproportionately large load on our infrastructure. Implement any manual processes
to monitor or copy DinerPlace Content from the DinerPlace website without express
written permission. Utilize any device, software or routine that will interfere
or attempt to interfere with the functionality of the DinerPlace website.
8. LIABILITY LIMITATIONS
IN NO EVENT SHALL DINERPLACE BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE OR ANY
SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER
BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISES OUT OF OR IS ANY WAY CONNECTED

THE PERFORMANCE OR NON-PERFORMANCE OF ANY BUSINESS LISTING IN CONNECTION WITH THE
SERVICES. IN ADDITION, ALL USERS SPECIFICALLY UNDERSTAND AND AGREE THAT ANY THIRD
PARTY DIRECTING USERS TO THE DINERPLACE SITE BY REFERRAL, LINK OR ANY OTHER MEANS
IS NOT LIABLE TO USER FOR ANY REASON WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES
OR LOSS ASSOCIATED WITH THE USE OF THE SERVICES, THE DINERPLACE WEBSITE OR THE DINERPLACE
CONTENT. DINERPLACE IS NEITHER AN AGENT OF NOR IS CONNECTED WITH ANY AFFILIATED
BUSINESS LISTING IN WHICH A USER HAS MADE A BOOKING. ASIDE FROM THE SERVICES PROVIDED
ON THE DINERPLACE WEBSITE. DINERPLACE IS NOT LIABLE FOR ANY INJURY, LOSS, CLAIM,
DAMAGE OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES
OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISES OUT OF OR
IS IN ANY WAY CONNECTED WITH A USER’S VISIT TO AN AFFILIATED BUSINESS LISTING.
9. DISCLAIMER OF WARRANTY
THE INFORMATION, PROGRAMS, PRODUCTS, AND MATERIALS CONTAINED IN OR ACCESSED ON THE
DINERPLACE WEBSITE, INCLUDING, WITHOUT LIMITATION, THE SERVICES AND THE DINERPLACE
CONTENT, ARE PROVIDED TO USER ON AN 'AS IS' BASIS AND WITHOUT WARRANTY OF ANY KIND.
DINERPLACE DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICES,
THE DINERPLACE WEBSITE, THE DINERPLACE CONTENT AND RELATED MATERIALS PROVIDED HEREUNDER
INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR

11. SEVERABILITY
If any of the provisions, or portions thereof, of this Agreement are found to be
invalid under any applicable statute or rule of law, then, that provision notwithstanding,
this Agreement shall remain in full force and effect and such provision or portion
thereof shall be deemed omitted.
12. NO ASSIGNMENT
This Agreement and the rights granted and obligations undertaken hereunder may not
be transferred, assigned or delegated in any manner by USER, but may be so transferred,
assigned or delegated by DinerPlace.
13. WAIVER
Any waiver of any provision of this Agreement, or a delay by any party in the enforcement
of any right hereunder, shall neither be construed as a continuing waiver nor create
an expectation of non-enforcement of that or any other provision or right.
14. JURISDICTION
This Agreement is made under and shall be governed by and construed in accordance
with the laws of the Republic of Ireland. The parties hereby consent to the jurisdiction
of the state and Irish courts.

are provided to the Featured Business Listed.
DinerPlace will only share the information specified above
with the business listed at which you have made bookings using the DinerPlace Website.
A Listed Business cannot use their DinerPlace System to access information pertaining
to customers from other Featured Listed Businesses, with the exception that Featured
Listed Businesses under the same corporate ownership may elect to share information
between business properties.
Access to Your Information:
A website user may also change their personal information
such as, email address, phone number by emailing DinerPlace with the requested change.
Email from DinerPlace:
DinerPlace sends automated service messages pertaining to
upcoming or recent bookings, such as confirmation email. You may from time to time
receive communications relating to special offers and/or DinerPlace business recommendations.
You may unsubscribe from the DinerPlace email list at any time by following the
directions provided in the email communications, by replying to the marketing communications
with "Unsubscribe" in the subject line.
Email and contact from a Featured Business Listed on the
DinerPlace Website:
You may also receive marketing communications from the Featured
Business Listed at which you've made a booking. DinerPlace plays no role in the
content, frequency, timing or unsubscription process of any Listed Business's marketing
communications. If you would like to unsubscribe from a businesses marketing communications,
please contact the appropriate business directly.
Social Media:
You can choose to access certain third party social media
web sites and services through the DinerPlace Website. When you do so, you are sharing
information with those sites, and the information you share will be governed by
their privacy policies. You can modify your privacy settings with those third parties
directly. DinerPlace does not control the privacy policies of such third parties
and assumes no responsibility or liability for the actions of such third parties.
